81、nability in todays global marketplace.Code of EthicsCogeco is committed to implementing the highest standards of ethics in its professional and business practices.The Ethics Program is under the purview of the Vice President,Internal Audit.An Ethics Steering Committee,composed of members of the seni
82、or leadership team,oversees all ethics-related matters,including approving changes to our Code of Ethics,the monitoring of Code of Ethics training completion rates,the review of declared conflicts of interest and the review of Ethics Line reports received.Our Code of Ethics sets out the principles t
83、hat guide the desired behaviours of all individuals who are part of the Cogeco ecosystem,and more specifically who contribute to its operation,image and reputation.Our Code of Ethics is reviewed and updated annually to reflect industry leading practices and our desire to maintain elevated ethical st

86、viour.Employees must attest to the Code of Ethics at the time of hiring and on an annual basis thereafter.Mandatory ethics training for employees at onboarding and every two years thereafter,delivered through a web-based management learning system that allows for the monitoring and tracking of train
87、ing completion by all employees.Ad hoc live training sessions on specific ethics-related topics.A fraud awareness campaign was conducted in March 2024.Ethics-related questions are regularly integrated into employee engagement surveys to assess ethics awareness,tool usage,and to identify areas of imp
88、rovement.Reporting mechanismsCogeco has an Ethics Line,managed by an independent organization and accessible both in French and English,for employees and external stakeholders seeking advice on ethical issues or wishing to file an anonymous complaint.It is accessible online and is promoted through r
89、egular employee training and internal communications.Additionally,we have a dedicated ethics inbox()available to all stakeholders for any inquiries.Any employee or stakeholder who submits a report in good faith is protected against dismissal or retaliation of any kind.All the reports submitted are r
90、eviewed by the Vice President,Internal Audit and/or the Chief Legal and Corporate Affairs Officer.Reporting statistics are shared with the Ethics Steering Committee and the Audit Committee of the Board of Directors quarterly.These statistics are also reviewed on a biannual basis by the Corporate Gov

92、place,which requires all employees to report any conflict of interest(actual or apparent)to the Vice President,Internal Audit,who reviews all declaration forms jointly with the Human Resources department and determines if any action is required to mitigate or eliminate a conflict.All confirmed confl
93、icts of interest are also reviewed by the Ethics Steering Committee.Furthermore,data related to the nature and number of conflict of interest forms received and analyzed are reported to the Corporate Governance Committee of the Board of Directors twice a year.Compliance assessmentsTo manage ethics a
94、nd fraud-related risks on a proactive basis,the Vice President,Internal Audit undertakes a number of reviews to assess compliance with ethics-related policies and processes.For instance,the fraud risk in our customer management systems was assessed in fiscal 2024,evaluating whether these systems and
95、 their supporting processes effectively mitigated both internal and external fraud risks.An ethics risk assessment was also conducted in fiscal 2024 with a view to proactively manage the topic of ethics at Cogeco,identify and prioritize key ethics risks,and enable the development of effective mitiga
